Terms of use

1. The Website

  1. This Website (the “Website”) is maintained by Art Dubai Fair FZ LLC (“Prototypes for Humanity”), a limited liability company whose registered company number is 93088, incorporated under the laws of the Dubai Creative Clusters and having its principal place of business at Office 403A – 404A, Building 7, Dubai Design District, Dubai, United Arab Emirates.

  2. Before you start to use the Website, please read the terms of use set forth herein (referred to as “Terms”) which informs you of the terms on which you may make use of the Website.

  3. Use of the Website by you is deemed acceptance of the Terms and you agree to be legally bound by the Terms and to comply with the Terms, without limitation. If you do not accept the Terms in full, you must leave the Website immediately.

2. Changes to Website

The Terms may be changed by Prototypes for Humanity from time to time at its sole discretion without notice to you. If the Terms are changed (such changes shall be deemed to form an integral part of the Terms), the new version of the Terms comes into force and will be enforceable from the day it is uploaded on the Website and the continued use by you of the Website following the posting of any changes to the Terms constitutes your acceptance of those changes. Any new features or tools added to the Website shall also be subject to the Terms then in force.

3. Information on Website

  1. Prototypes for Humanity cannot confirm the accuracy of any information on the Website or whether such information is complete or up to date at any given time. Prototypes for Humanity may at its sole discretion update or remove any information on the Website from time to time.
  2. As the Website is for information purposes only and is provided free of charge, access to it is not permanent or guaranteed. Accordingly, Prototypes for Humanity may at its sole discretion:
  • remove any content from the Website, or
  • close the Website, or
  • restrict or suspend access to some parts of the Website or the entire Website.

4. Passwords and Security Procedure

Each registration with Prototypes for Humanityumanity is for a single user only. If you choose, or if you are provided with a password or any other piece of information as part of Prototypes for Humanity’s security procedures, you must treat such information as confidential and you must not disclose it to any third party. Because security and access rights are important to Prototypes for Humanity and you, Prototypes for Humanity has the right to disable any password, whether chosen by you or allocated by Prototypes for Humanity, at any time, if in Prototypes for Humanity’s opinion you have failed to comply with any of the provisions of these Terms.

5. Intellectual Property Rights

  1. Prototypes for Humanityumanityumanityumanityumanityumanity owns all intellectual property rights in the Website and all of its information and material, including but not limited to, text, articles, images, logos, trade marks, trade names, copyright works, designs and inventions (whether they are registered or not) (the “Published Information”). Prototypes for Humanity reserves all its intellectual property rights.

  2. You may access, download and temporarily store the Published Information for the sole purpose of personal viewing, non-commercial research, information, use or education, with no addition or amendments.

**You must not use the Website or its content: **
a. for any unlawful purpose, or

b. for any purpose which is offensive or disrespectful (including without limitation offensive or disrespectful to the culture of the United Arab Emirates), or

c. to harass, abuse, insult, harm, defame, slander or intimidate others, or

d. to spam, or to otherwise interfere with the security of the Website or any website related to Prototypes for Humanity, other website or the internet. Prototypes for Humanity reserves the right to terminate (without any liability whatsoever) your use of the Website or any website related to Prototypes for Humanity for violating any of the prohibited uses.

6. Content Upload

  • Approved Projects can upload images and other materials, to the Website via the login provided by Prototypes for Humanity.

  • The intellectual property rights in (including the copyright over) photographs, or any other materials, uploaded to the Website must be the property of the person who makes it available for uploading. If that person does not own the intellectual property rights (including the copyright) that person must obtain a license or consent from the owner for such use in advance. Prototypes for Humanity will not be, and you acknowledge that you will be, responsible, or liable to any third party, for the content or accuracy of any materials posted by you on the Website.

  • You hereby grant:

    • to Prototypes for Humanity a perpetual, royalty-free, irrevocable, non-exclusive license in respect of any photographs, or other materials, uploaded to the Website for the purposes of promoting and publicizing Prototypes for Humanity or any events, fairs, or activities in which Prototypes for Humanity is involved, both within and outside the United Arab Emirates; and

    • permission to Prototypes for Humanity and/or its appointed publicity contractors and/or publishers to create its own images of any exhibit or stand at any event for the same purposes as are mentioned in 7.3 (a) above.

  • You must not upload material to the Website that is unlawful, disrespectful or offensive (including without limitation disrespectful or offensive to the culture of the United Arab Emirates), defamatory, abusive, obscene, discriminatory or otherwise inappropriate, or which you do not have the appropriate rights to use. Prototypes for Humanity may, but has no obligation to, monitor, edit or remove, without liability, Website content that Prototypes for Humanity determines in its sole discretion to be unlawful, disrespectful or offensive (including without limitation disrespectful or offensive to the culture of the United Arab Emirates), defamatory, obscene or otherwise objectionable or violates any party’s intellectual property or the Terms, or for any other reason.

  • Prototypes for Humanity is not responsible for loss or corruption of data, including accidental or intentional deletion by Prototypes for Humanity or you. In the case of you being involved in any dispute between Prototypes for Humanity and/or any third party, Prototypes for Humanity reserves the right to remove your uploaded photographs, or other materials, from the Website, at its discretion and without any liability.

7. Linking to Website of Prototypes for Humanity

You must not link to the Website without the prior written consent of Prototypes for Humanity and on the terms and conditions specified by Prototypes for Humanity.

8. No Liability

  • Prototypes for Humanity does not give or make any warranty or representation (whether express or implied) that any information on the Website is accurate, timely, complete or available. Prototypes for Humanity will not be liable to you for any direct or indirect loss or damage whatsoever and however it arises as a result of your use of or reliance on the information on the Website, or for your inability to access or use the Website for any period of time.
  • You agree not to use the Website for any commercial, professional, trade, or business purposes, and Prototypes for Humanity will not be liable to you for any direct or indirect loss, including without limitation, loss of profit, loss of business, business interruption, loss of business opportunity, goodwill or reputation, or consequential loss or damage, howsoever arising.
  • Prototypes for Humanity does not represent or warrant that your use of this Website (including any content on it or any third party website accessible from it or any content on any other website maintained by Prototypes for Humanity accessible from the Website) will be error free, delay free, or will not cause damage to your computer or other device. It is your responsibility to ensure that you have the right equipment (including antivirus software) to use the Website safely and to screen out anything that may damage or harm your computer or other device.

9. No Liability for Other Websites

The Website may contain links to other independent websites. These links are provided for your convenience only, and do not amount to a recommendation or endorsement by Prototypes for Humanity of that third party or its website. Prototypes for Humanity has no control over the content such third party websites, and Prototypes for Humanity has not verified the accuracy of any content on such third party website. Accordingly, Prototypes for Humanity is not liable for the content or availability (or lack of availability) of such third party websites.

10. Privacy Policy

In order to access certain features of this Website, you may be required to provide information about yourself including, amongst other things, your email address. Please read Prototypes for Humanity’s Privacy Policy about how Prototypes for Humanity uses your personal data. The Privacy Policy forms an integral part of the Terms.

11. Applicable Law & Jurisdiction

The Terms, the Website and any information contained in it will be governed by the laws of the Emirate of Dubai and the applicable Federal laws of the United Arab Emirates, and the courts of the Emirate of Dubai will have exclusive jurisdiction to hear any dispute arising from the Terms; provided however, notwitstanding the foregoing, Prototypes for Humanity shall also be entitled to initiate legal proceedings in the court(s) of any country.

12. Entire Terms

The Terms constitute the entire agreement between you and Prototypes for Humanity in relation to the use of the Website and supersede all previous terms in respect of same.
